SERVICES

Zippy AI Hub provides businesses with AI-powered technology and digital automation solutions, which may include:

• AI website chatbots
• AI voice receptionists and AI voice agents
• Missed-call text-back systems
• Automated SMS and email follow-ups
• Customer relationship management ("CRM") automation
• Lead capture and lead management systems
• Appointment scheduling and booking tools
• Review request and reputation management automation
• Marketing funnels and landing pages
• Website design and development
• Advertising campaign setup and management
• Third-party software integrations
• API integrations
• Automated customer communications
• Reporting and analytics
• Other AI, marketing, sales, and business automation services

The specific services available to you will depend on the package, subscription, proposal, order, or service agreement you purchase.

We reserve the right to modify, improve, replace, suspend, or discontinue any feature or service at any time.

ELIGIBILITY

You must be at least 18 years old and legally capable of entering into a binding agreement to use our services.

If you are using our services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

ACCOUNT REGISTRATION

Certain services may require you to create an account or provide business information.

You agree to provide accurate, complete, and current information and to keep that information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.

You must notify us promptly if you believe your account has been accessed without authorization.

SUBSCRIPTIONS AND BILLING

Certain Zippy AI Hub services are offered on a recurring subscription basis.

By purchasing a subscription, you authorize Zippy AI Hub or its designated payment processor to charge your selected payment method for the applicable subscription fees.

Unless otherwise stated in writing:

• Subscription fees are billed monthly
• Subscriptions automatically renew at the end of each billing period
• You are responsible for maintaining a valid payment method
• Taxes, transaction fees, usage charges, advertising costs, and third-party fees may apply where applicable
• Subscription prices may be changed upon reasonable notice

If a payment fails, we may attempt to process the payment again or suspend access to some or all services until the outstanding balance has been paid.

CANCELLATION

You may cancel a recurring subscription by contacting Zippy AI Hub or using any cancellation method made available through your account.

Unless otherwise agreed in writing, cancellation will take effect at the end of the current paid billing period.

Cancellation does not automatically entitle you to a refund for unused time remaining in a billing period.

Any outstanding amounts owed to Zippy AI Hub remain payable after cancellation.

We reserve the right to suspend or terminate services for non-payment, misuse, violation of these Terms, or other legitimate business reasons.

REFUNDS

Unless a separate written agreement states otherwise, subscription fees and completed service fees are generally non-refundable.

Because certain Zippy AI Hub services involve setup, configuration, software provisioning, AI training, integrations, development, or other work performed specifically for your business, fees associated with completed work may not be refundable.

If you believe you have been charged incorrectly, you should contact us within 14 days of the applicable charge so that we can review the issue.

Any refund provided is at the sole discretion of Zippy AI Hub unless otherwise required by applicable law.

AI SERVICES AND LIMITATIONS

Zippy AI Hub uses artificial intelligence and automated technologies to provide certain services.

You acknowledge that AI-generated outputs may occasionally be inaccurate, incomplete, outdated, misleading, or inappropriate.

AI services should not be relied upon as a substitute for professional human judgment.

Zippy AI Hub does not guarantee that:

• AI-generated responses will always be accurate
• AI systems will understand every customer inquiry
• AI systems will always respond appropriately
• AI systems will never make mistakes
• AI-generated leads will become customers
• Automated communications will result in sales or appointments
• The AI system will be available without interruption
• AI services will produce any particular financial or business result

You are responsible for reviewing and monitoring AI-generated communications and ensuring that the AI is appropriately configured for your business.

CUSTOMER RESPONSIBILITY FOR AI CONFIGURATION

You are responsible for providing accurate information about your business, including information regarding:

• Products and services
• Pricing
• Hours of operation
• Locations
• Policies
• Appointment availability
• Promotions
• Contact information
• Frequently asked questions
• Other information used by the AI system

You are responsible for reviewing information supplied to Zippy AI Hub and notifying us of inaccuracies.

You acknowledge that inaccurate information supplied by you may result in inaccurate AI responses or customer communications.

SMS, EMAIL, AND AUTOMATED COMMUNICATIONS

Certain Zippy AI Hub services may send SMS messages, emails, voice calls, or other communications on your behalf.

You are responsible for ensuring that your use of these communications complies with all applicable laws and regulations, including applicable Canadian anti-spam, privacy, telecommunications, consumer protection, and marketing laws.

Where applicable, you are responsible for obtaining appropriate consent before sending commercial electronic messages or initiating automated communications.

You must not use Zippy AI Hub services to send:

• Spam
• Fraudulent messages
• Misleading advertising
• Unsolicited commercial communications
• Harassing or abusive communications
• Illegal content
• Communications that violate applicable laws or regulations

Zippy AI Hub may suspend or terminate messaging services if we reasonably believe they are being used unlawfully or in violation of third-party messaging provider policies.

TELEPHONE AND VOICE SERVICES

If you use Zippy AI Hub's AI voice receptionist or voice agent services, you acknowledge that automated voice interactions may not always perfectly understand callers or respond as a human representative would.

You are responsible for ensuring that any call recording, monitoring, transcription, or automated calling features are used in compliance with applicable laws.

Where required by law, you are responsible for providing appropriate disclosures and obtaining required consent from callers.

THIRD-PARTY SERVICES

Zippy AI Hub may integrate with or rely upon third-party services, platforms, software, telecommunications providers, payment processors, advertising platforms, CRM systems, hosting providers, AI providers, and other technology providers.

Examples may include CRM, calendar, email, SMS, advertising, payment, analytics, hosting, telecommunications, and AI infrastructure providers.

Third-party services may have their own terms, privacy policies, fees, limitations, and service interruptions.

Zippy AI Hub is not responsible for outages, failures, changes, restrictions, pricing changes, or other issues caused by third-party providers.

Your use of third-party services may also be subject to the applicable third party's terms and policies.

CUSTOMER DATA

You may provide Zippy AI Hub with information relating to your business, customers, leads, employees, or other individuals ("Customer Data").

You retain ownership of your Customer Data.

You grant Zippy AI Hub the limited rights necessary to host, process, transmit, store, analyze, and otherwise use Customer Data solely to provide, maintain, improve, secure, and support the services.

You represent and warrant that you have the necessary rights, permissions, and consents to provide Customer Data to Zippy AI Hub and permit us to process it as contemplated by these Terms.

You are responsible for ensuring that your collection and use of personal information complies with applicable privacy laws.

PRIVACY

Your use of Zippy AI Hub services may involve the collection and processing of personal information.

Our handling of personal information is described in our Privacy Policy.

By using our services, you acknowledge that information may be processed through third-party technology providers as reasonably necessary to provide the services.

You should not provide Zippy AI Hub with highly sensitive personal information unless specifically requested and authorized for the relevant service.

INTELLECTUAL PROPERTY

All rights, title, and interest in and to the Zippy AI Hub website, software, technology, systems, branding, trademarks, logos, designs, documentation, templates, processes, and proprietary materials remain the property of Zippy AI Hub or its licensors.

Except as expressly permitted under these Terms, you may not:

• Copy our software or systems
• Reverse engineer our technology
• Reproduce our proprietary materials
• Resell our services without authorization
• Remove proprietary notices
• Attempt to gain unauthorized access to our systems
• Use our intellectual property to create a competing service

CUSTOMER CONTENT

You retain ownership of content and materials you provide to Zippy AI Hub.

You grant us permission to use, reproduce, modify, process, transmit, and display such materials solely as reasonably necessary to provide the services.

You are responsible for ensuring that your content does not infringe the rights of another person or entity.

WEBSITE AND MARKETING MATERIALS

If Zippy AI Hub creates websites, landing pages, advertisements, marketing materials, or other content for you, the ownership and licensing of those materials may depend on your specific service agreement or package.

Unless otherwise agreed in writing, Zippy AI Hub retains ownership of its underlying templates, software, systems, automation frameworks, proprietary technology, and reusable components.

Third-party assets, including stock images, fonts, plugins, software, APIs, and other licensed materials, may remain subject to their respective licenses.

ADVERTISING SERVICES

If you purchase advertising management services, Zippy AI Hub may assist with the creation, management, optimization, or monitoring of advertising campaigns.

You acknowledge that advertising results are not guaranteed.

Advertising performance may be affected by factors outside our control, including:

• Market conditions
• Competition
• Advertising platform algorithms
• Budget
• Target audience
• Landing page performance
• Industry regulations
• Seasonality
• Consumer behaviour
• Changes made by third-party advertising platforms

Advertising spend paid directly to advertising platforms is separate from Zippy AI Hub service fees unless otherwise stated.

NO GUARANTEE OF RESULTS

Zippy AI Hub does not guarantee any specific number of:

• Leads
• Calls
• Appointments
• Sales
• Customers
• Revenue
• Website visitors
• Advertising conversions
• Return on investment

Any examples, projections, case studies, testimonials, estimates, or statements regarding potential results are illustrative only and do not constitute a guarantee.

PROHIBITED USE

You agree not to use Zippy AI Hub services to:

• Violate any applicable law or regulation
• Commit fraud or deception
• Impersonate another person or business
• Send spam or unauthorized communications
• Harass, threaten, or abuse others
• Distribute malicious software
• Attempt to gain unauthorized access to systems
• Collect information unlawfully
• Promote illegal activities
• Infringe intellectual property rights
• Circumvent security measures
• Interfere with the operation of our services
• Use our services for any purpose that could reasonably cause harm to Zippy AI Hub, our providers, or others

We may suspend or terminate accounts that violate these requirements.

SERVICE AVAILABILITY

We aim to provide reliable and continuous service but do not guarantee uninterrupted availability.

Services may occasionally be unavailable due to:

• Maintenance
• Software updates
• Technical failures
• Internet or telecommunications issues
• Cybersecurity incidents
• Third-party outages
• AI provider outages
• Hosting failures
• Force majeure events
• Other circumstances beyond our reasonable control

DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, Zippy AI Hub provides its services on an "as is" and "as available" basis.

We disclaim all warranties, representations, and conditions, whether express or implied, except where such disclaimers are prohibited by law.

We do not warrant that the services will:

• Meet every business requirement
• Be error-free
• Be continuously available
• Produce specific results
• Be completely secure
• Operate without interruption

LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Zippy AI Hub and its owners, employees, contractors, affiliates, service providers, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the services.

This may include losses relating to:

• Lost profits
• Lost revenue
• Lost business opportunities
• Lost customers
• Lost data
• Business interruption
• Advertising performance
• AI-generated errors
• Missed calls or leads
• Third-party service failures
• Unauthorized access to systems

To the maximum extent permitted by applicable law, Zippy AI Hub's total aggregate liability arising out of or relating to the services will not exceed the amount you paid to Zippy AI Hub for the services during the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Zippy AI Hub and its owners, employees, contractors, affiliates, and service providers from claims, damages, liabilities, costs, and expenses arising from:

• Your use of the services
• Your violation of these Terms
• Your violation of applicable laws
• Your Customer Data or content
• Your communications with customers
• Your failure to obtain required consent
• Your infringement of third-party rights
• Your misuse of the services

SUSPENSION AND TERMINATION

We may suspend or terminate your access to the services if:

• You fail to pay applicable fees
• You violate these Terms
• You use the services unlawfully
• Your activity creates a security or legal risk
• You abuse our systems or personnel
• We are required to do so by law or by a third-party service provider

Upon termination, your right to access the applicable services will cease.

Certain provisions of these Terms will survive termination, including provisions concerning intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, privacy, and dispute resolution.

CHANGES TO THESE TERMS

We may update these Terms from time to time.

When we make material changes, we may provide notice through our website, email, account dashboard, or other reasonable means.

Your continued use of the services after updated Terms become effective constitutes acceptance of the revised Terms.

GOVERNING LAW

These Terms will be governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or the services will be subject to the jurisdiction of the courts located in Ontario, Canada, unless otherwise required by applicable law.

SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

ENTIRE AGREEMENT

These Terms, together with any applicable order form, proposal, service agreement, Privacy Policy, and other written agreements between you and Zippy AI Hub, constitute the entire agreement between you and Zippy AI Hub regarding the services.

If there is a conflict between these Terms and a separately signed written agreement, the separately signed agreement will control to the extent of the conflict.

NO WAIVER

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.
